biofinder (hereinafter "biofinder") provides its users (hereinafter the "Users") with an AI-powered platform designed to connect life sciences companies: service providers such as contract research organisations (CROs), contract development and manufacturing organisations (CDMOs) and specialised laboratories, with sponsors such as biotech and pharmaceutical companies.
These Terms of Service (hereinafter the "Terms") govern the use of the services made available through the website https://biofinder.io (hereinafter the "Services") and define the rights and obligations of the parties.
The Terms are accessible and printable at any time through a direct link on the website. They may be supplemented by specific conditions applicable to certain Services. In the event of conflict, specific conditions prevail over these Terms.
biofinder is operated under French law by Houssem Eddine Kihal EI, SIRET 91170280100026.
The website and the Services are intended exclusively for professionals acting in the context of their business activity.
Subject to any restrictions displayed on the website, the Services are accessible to:
Users acknowledge that the Services are not intended for consumers within the meaning of the French Consumer Code.
Acceptance of the Terms is materialised at sign-up. By clicking "Sign up" or any equivalent button, the User accepts these Terms in full and without reservation. A User who does not accept these Terms must not use the Services.
Use of the Services requires registration by completing the form provided for that purpose. All fields marked as mandatory must be completed. Incomplete registrations will not be validated.
Registration automatically creates an account (the "Account") and a personal workspace (the "Personal Space") through which the User manages their use of the Services.
The User warrants that all information provided at registration is accurate, up to date and truthful. The User agrees to update this information if it changes.
The User acknowledges that data entered when creating or updating the Account serves as proof of identity and binds the User upon validation.
The User accesses the Personal Space using personal credentials. The User agrees to use the Services personally and not to allow any third party to use the Services in their place or on their behalf, failing which the User bears full responsibility.
The User is responsible for maintaining the confidentiality of their credentials. The User must contact biofinder immediately at the address indicated in article 2 if they become aware of any unauthorised use of the Account. biofinder reserves the right to take any appropriate measures in such cases.
The Services consist of an AI-powered platform which, in particular:
The Services are provided in the form and with the functionality that biofinder deems most appropriate. biofinder may add, modify or discontinue features at any time.
The prices of the Services are indicated on the website. Several subscription plans (the "Subscriptions") may be offered.
Unless otherwise stated, prices are expressed in Euros (€) and excluding taxes.
biofinder reserves the right, at its sole discretion, to offer promotional offers or price reductions.
biofinder may revise its prices at any time. Users will be informed of such revisions by any useful written means (in particular email) at least thirty (30) days before the new prices take effect.
A User who does not accept the new prices must terminate their Subscription in accordance with article 8 before the new prices take effect. Once in effect, new prices apply from the next renewal of the Subscription.
Services are invoiced per Subscription Period.
Payment is made by credit card or direct debit via our payment processor. Payment card details are held by the payment processor and not by biofinder.
The Subscription price is due and charged on the date the Subscription is purchased and thereafter on each renewal date.
The User warrants that they hold the necessary authorisations to use the payment method chosen.
Any late payment automatically entails, without prejudice to articles 12 and 8 and from the day after the due date indicated on the invoice:
Services are provided on a Subscription basis.
The Subscription starts on the day of purchase, subject to payment, for the period purchased by the User (monthly or annual, the "Initial Period"), from date to date.
The Subscription renews tacitly for successive periods of the same duration as the Initial Period, unless terminated by either party at any time.
Termination by the User is made by email to hello@biofinder.io or through the Personal Space once the feature is available. Termination by biofinder is made by email to the User.
Any Subscription Period that has started is due in full.
Without prejudice to the other obligations set out in these Terms, the User undertakes to:
9.1 Comply with all applicable laws and regulations when using the Services and not infringe the rights of third parties or public order.
9.2 Acknowledge the features and technical constraints of the Services. The User is solely responsible for their use of the Services.
9.3 Make strictly personal use of the Services. The User may not assign, sublicense or transfer any of their rights or obligations under these Terms to any third party.
9.4 Provide biofinder with all information necessary for the proper performance of the Services and cooperate actively with biofinder.
9.5 Be solely responsible for the content the User uploads, stores or transmits through the Services (the "Content"). The User warrants that they hold all rights and authorisations necessary to use that Content. The User undertakes that the Content is lawful and does not infringe public order, morality or the rights of third parties, and in particular does not include:
9.6 Comply with all applicable data protection and electronic marketing laws when using the Services, and in particular:
9.7 Acknowledge that the Services offer an additional, non-alternative solution for identifying, qualifying and contacting professional prospects, and do not substitute for other measures the User should take to comply with applicable laws.
9.8 Acknowledge that access to the Services requires an Internet connection and that the quality of the Services depends on that connection, for which the User is solely responsible.
The User indemnifies biofinder against any claim, action or proceeding brought against biofinder as a result of the User's breach of these Terms or of any applicable law. The User agrees to compensate biofinder for any damage, cost, charge or judgment it may incur as a result.
11.1 Users are prohibited from using the Services for:
11.2 Users are prohibited from copying, reverse-engineering or diverting, for their own benefit or that of third parties, the concept, technology, algorithms, databases or any element of the Services.
11.3The following are also prohibited: (i) any conduct that interrupts, slows or prevents the continuity of the Services; (ii) any intrusion or attempt to intrude into biofinder's systems; (iii) any misuse of system resources; (iv) any action imposing a disproportionate load on infrastructure; (v) any attack on security or authentication measures; (vi) any act harming the financial, commercial or moral rights and interests of biofinder or its Users.
11.4 Users are prohibited from monetising, selling or granting access to the Services, the website or any information hosted or shared therein.
In the event of a breach of these Terms or of applicable law, biofinder reserves the right to take any appropriate measure, and in particular to:
13.1 biofinder undertakes to provide the Services with due care and in accordance with industry standards. biofinder is under a best-efforts obligation, to the exclusion of any obligation of result, which the User expressly acknowledges and accepts.
13.2 The Services rely on AI agents and automated processes. biofinder cannot guarantee that matching, enrichment or updates will be free of errors, in particular in cases of homonymy or ambiguous public data. Upon written request from the User, biofinder will correct identified errors as soon as reasonably possible.
13.3 biofinder performs regular checks to ensure the Services operate correctly. biofinder may interrupt access to the website for maintenance. biofinder is not liable for temporary difficulties or unavailability caused by circumstances beyond its control, force majeure as defined in article 1218 of the French Civil Code, or disruptions of telecommunications networks.
13.4biofinder does not guarantee (i) that the Services, subject to continuous development, will be entirely free of defects, or (ii) that the Services, which are standard and not tailored to any specific User, will meet the User's specific needs.
13.5In any event, biofinder's liability under these Terms is expressly limited to direct, proven damages suffered by the User, capped at the amounts actually paid by the User to biofinder in the twelve (12) months preceding the event giving rise to the claim.
The systems, software, structures, infrastructure, databases, algorithms, AI models, designs and content of any nature (texts, images, visuals, logos, trademarks, databases, etc.) operated by biofinder within the Services are protected by all applicable intellectual property rights and rights of database producers. Any disassembly, decompilation, decryption, extraction, reuse, copy or more generally any act of reproduction, representation, distribution or use of any of these elements, in whole or in part, without biofinder's authorisation is strictly prohibited and may give rise to legal proceedings.
biofinder and the User agree to comply with the laws applicable to personal data protection, in particular the GDPR and the French Loi Informatique et Libertés.
15.1 Architecture.biofinder's own database holds company-level information only (company name, headquarters, pipeline, services, sector). biofinder does not pre-collect or maintain a database of individuals. Individual contact data is retrieved on demand from third-party data providers only when the User actively requests it for a specific company, and is stored exclusively inside the User's Personal Space. Contact data stored in the Personal Space is auto-purged three (3) months after retrieval, and the User may delete any contact at any time before that.
15.2 Role of the parties. For the limited personal data biofinder processes to operate its website, manage accounts and run its own business (account data, billing data, support communications), biofinder acts as data controller. For the contact data retrieved on the User's behalf and stored in the User's Personal Space, biofinder acts as data processor within the meaning of Article 28 GDPR, and the User acts as data controller. A Data Processing Agreement (DPA) is available on request at privacy@biofinder.io.
15.3 Sub-processors.biofinder uses third-party sub-processors to provide the Services, including AI inference providers, B2B data providers engaged on the User's demand, payment processors and infrastructure providers. Sub-processors operate under contractual commitments that prohibit the use of customer data for training their own models. A current list of sub-processors is available on request at privacy@biofinder.io.
15.4 User responsibilities.The User is solely responsible for their own use of data retrieved through the Services, for ensuring they have a lawful basis for the retrieval, for informing data subjects where required, for honouring data subjects' rights, and for complying with Article L.34-5 of the French Code des Postes et des Communications Electroniques and any equivalent electronic marketing rules applicable in the User's jurisdiction.
15.5 biofinder and the User cannot be considered joint controllers in the context of the Services. If a qualification error is established, the parties shall meet to amend this clause.
By using the Services, the User authorises biofinder to display the User's company name and logo on biofinder's website and marketing materials as a commercial reference. Testimonials and quotes will only be used with the User's prior written consent.
biofinder is not liable for the availability, content, products or services of third-party websites or mobile applications accessible through the Services, which are governed by their own terms. biofinder is not a party to any transaction between the User and any third party reached through the Services.
biofinder reserves the right to modify these Terms at any time. Registered Users will be informed of modifications by any useful means at least thirty (30) days before they take effect. Modified Terms apply from the next renewal of the Subscription.
A User who does not accept the modifications must terminate the Subscription in accordance with article 8. Any User who continues to use the Services after the modifications take effect is deemed to have accepted them.
The User acknowledges and expressly accepts that (i) data recorded on biofinder's website and IT systems constitute evidence of the transactions and operations carried out under these Terms, and (ii) such data constitute the principal mode of evidence admissible between the parties.
These Terms are drafted in English. In the event of a translation into any other language, the English version shall prevail in the event of contradiction or disputed interpretation of any term or provision.
These Terms are governed by French law. Any dispute relating to the validity, interpretation or performance of these Terms falls under the exclusive jurisdiction of the competent courts of Saint Étienne, France, subject to mandatory procedural rules to the contrary.
These Terms enter into force on 24 April 2026.
